Terms of Service

This is the deal in plain terms. It is the umbrella agreement for using Overlume, and it points to our other policies for the detail. By creating an account or rendering an ad, you agree to what follows.
Acceptance and eligibility
These Terms are a binding agreement between you and Overlume. The service is operated by Ethernus, an incorporated partnership (vennootschap onder firma, VOF) registered in the Netherlands; Overlume is a trade name of Ethernus, not a separately registered company, and Ethernus is the party you contract with. By creating an account, subscribing, or rendering an ad, you accept these Terms. If you do not agree, do not use the service.
You must be at least 18 years old and able to enter into a contract to use Overlume. If you use Overlume on behalf of a business, you confirm you have the authority to bind that business to these Terms.
Your account
You are responsible for your account and for keeping your login secure. You agree to provide accurate account and billing information and to keep it current. Tell us promptly if you believe your account has been accessed without your permission. You are responsible for activity that happens under your account.
What Overlume does
Overlume is a vertical AI ad generator for e-commerce sellers. You paste a product link, and Overlume generates a post-ready 9:16 short video ad in minutes, on-brand to your logo, colors, and voice. The output is a finished ad you can post and run as paid media.
Plans, billing, and credits
Overlume runs on credits. Every new account gets a one-time free credit grant to get started. From time to time we may also hand out promotional credits, discounts, or a free month, for example as a welcome gift; promotional grants are not money, may carry an expiry or conditions shown when you receive them, and are non-refundable and non-transferable like the free grant. Paid plans are subscriptions billed in advance on a recurring basis, monthly or annual, and give you your plan's monthly credit allowance. A subscription renews automatically at the start of each period until you cancel, and you can cancel at any time from your account settings. You can also buy one-time top-up packs. Before every paid action, we show what it will cost in credits and the money equivalent, and what you will have left, so nothing is charged silently.
The full detail on credits, expiry, cancellation, and the one refund path lives in the Refund and Credits Policy, which controls. In short: purchased and top-up credits do not expire, plan credits do not expire while your subscription is active, and a refund is only available on the charge that starts a new subscription, within 14 days, if you have not spent any credits from it. Renewals of a subscription you have already used are not refundable. An entirely unspent top-up pack follows the same 14-day rule, and once any credit from a pack is spent it is non-refundable. If a payment is later refunded or disputed, the credits it granted are removed from your balance, in proportion for a partial refund and in full for a full refund or chargeback; your balance can reach zero, but you never owe us credits. We do not restate prices or credit counts here.
The 14-day window is your right of withdrawal as an EU consumer. When you spend a credit you ask us to begin the service immediately, because credits pay for third-party compute the moment you generate, and you accept that you lose the right of withdrawal for what you have already used. Your full withdrawal right and the one refund path are set out in the Refund and Credits Policy.
Ownership of your ads
The ads you generate are yours to post and run as paid media. You warrant that you hold the rights to the products, logos, brands, trademarks, likenesses, and any audio, music, or sound recordings you bring into a render, and that your use of them is lawful.
We claim no license to show off your work. Your media and your ads are never displayed, featured, or shared publicly by us unless you explicitly choose to share them; any program that features customer work is opt-in.
Overlume retains all rights to the platform, the software, the models, and everything that powers the render room. Nothing in these Terms transfers ownership of the service to you.
Acceptable use
You agree to use Overlume within our Acceptable Use Policy. That policy prohibits illegal, deceptive, infringing, and abusive content, and it draws a hard line, with zero tolerance, around any sexual content involving minors and any non-consensual or impersonating use of a real person's likeness. You also agree to our Fair Use Policy, which covers one free grant per person, no duplicate accounts, and no reselling or automated abuse of the service.
AI output disclaimer
Ads made with Overlume are AI-generated. They may be imperfect, inaccurate, or resemble other outputs, and they will not always match what you expected. You see the credit cost before you spend, and you review every ad before you publish it.
You are responsible for what you do with an ad once it leaves the render room. That includes making sure each ad complies with the advertising policies of the platform you run it on, such as TikTok, Meta, Google, or YouTube, and with applicable advertising and consumer law. Where a platform or the law requires you to disclose that media is AI-generated, that disclosure is your responsibility. Where the law places a labelling duty on us as the tool provider, we meet it.
Live, our realtime camera mode, generates its output while you film, so there is no finished render to review first. What you capture or share from a Live session is your responsibility in the same way as a published ad, and the same content rules apply while the camera runs.
Data protection
We process personal data as described in our Privacy Policy. That policy sets out what we collect, how we use it, your rights under the GDPR, and how we work with sub-processors. Overlume is the data controller. Our full registered details are Ethernus (KvK 42102774, VAT NL869741548B01), Tagoreplaats 65, 3069 PB Rotterdam, the Netherlands.
Third-party services
Overlume relies on third-party providers to render your ads, process payments, and run the service. Your uploads and renders pass through our AI and compute sub-processors solely to produce your output, as described in our Privacy Policy and Cookie Policy. Payments are handled by a PCI-compliant processor, and we do not store full card numbers. Live camera sessions stream to our realtime video provider, which processes the feed under its own terms, as described in the Privacy Policy's Live camera sessions section. Your use of a linked platform, such as your store or an ad network, is also governed by that platform's own terms.
Intellectual property
Overlume, the Overlume name, the software, the models, and the look and feel of the service are owned by us and protected by intellectual property law. These Terms do not grant you any right to our brand or technology beyond using the service as intended. You keep the rights to the assets you bring in and to the finished ads you generate.
Warranty disclaimer
We work to keep Overlume available and reliable, but to the extent EU and Dutch law allows, the service and its output are provided as is and as available, without warranties of any kind, including fitness for a particular purpose, originality, or non-infringement. This does not affect any warranty or statutory right you have as a consumer that cannot be waived.
Limitation of liability
To the extent the law allows, Overlume is not liable for indirect, incidental, or consequential losses arising from your use of the service, including lost profits or the performance of an ad you chose to publish. Nothing here limits liability that cannot be limited under EU or Dutch law, and we do not exclude or limit liability for death or personal injury caused by our negligence, for fraud, or for our own intent or gross negligence. Your statutory consumer rights remain unaffected.
Indemnity
You agree to cover Overlume against claims and costs that arise from your unlawful use of the service, from your breach of these Terms, or from your infringement of the rights of a third party, including the rights to the products, brands, and likenesses you bring into a render. This does not apply to losses caused by our own fault, and it applies to the extent permitted by law.
Suspension and termination
You can stop using Overlume and cancel your plan at any time. We may suspend or permanently terminate an account that breaks these Terms or our policies, and for a serious breach, such as prohibited content, we may act without warning. For the gravest categories, termination is permanent and not subject to appeal.
For child sexual abuse material we act immediately and permanently. We preserve the content and report it to the appropriate authorities, such as NCMEC or national hotlines and law enforcement, as required by law, with no warning and no appeal.
On a for-cause termination, credits already consumed are not refunded, we may withhold refunds on the account, we may reclaim credits obtained through fraud, error, or abuse, and we report illegal activity as the law requires.
Changes to these terms
We may update these Terms as the service and the law evolve. When a change is material, we will give you reasonable notice before it takes effect. If you do not accept a material change, you may cancel before it takes effect, and the change will not alter the terms of a subscription period you have already paid for. If you keep using Overlume after a change takes effect, you accept the updated Terms.
Governing law and disputes
These Terms are governed by the laws of the Netherlands and the European Union, without affecting the mandatory consumer protections of the country you live in. The service is operated by Ethernus (KvK 42102774, VAT NL869741548B01), Tagoreplaats 65, 3069 PB Rotterdam, the Netherlands; Overlume is its trade name.
If we cannot resolve a dispute directly, EU consumers may also be able to use an approved consumer dispute resolution body, such as the Dutch Geschillencommissie. We will point you to the current option when one applies.
